Can a UK seller change terms after I order?
Do not assume a new set of terms governs an existing order. Save the original agreement and ask the seller to identify the agreed clause or later approval relied on. For consumer purchases, unfair terms are not binding. Ask Cambridge China Bridge to help organise the sourcing records.

Check whether consumer rules apply
Under the Consumer Rights Act, a consumer is an individual acting wholly or mainly outside their trade, business, craft or profession. Its unfair-terms provisions apply to contracts between traders and consumers. Buying stock for resale is different from buying something mainly for personal use. For personal orders, read trade-only terms and consumer rights.
If you are buying for your business, use our standard terms checklist and ask a solicitor to assess the commercial agreement. Do not base a business complaint on consumer protections without checking your status. For a mixed-purpose purchase, record who ordered, the intended use and the documents describing that use.
Preserve the agreement before comparing versions
Save the quotation, order acknowledgement, specification, payment records and the terms supplied or linked during ordering. Download attachments and preserve emails with their dates and sender details. Save screenshots and copies of relevant web pages, recording when you captured them. Keep the original files separate from your working notes.
Build a timeline showing the order, the seller’s response, payment and the first appearance of the replacement terms. Ask the seller to supply the version it says applied when the agreement was made and identify the event it treats as acceptance. Compare that account with your records rather than assuming payment or an acknowledgement settles the question.
Examine the original variation clause
Find the change clause in the original documents. Ask what it permits the seller to change, what triggers that power, which orders it covers and what notice it calls for. Check whether the seller is proposing a negotiated amendment or claiming an existing power to impose changes. A clause appearing only in the replacement version needs its own explanation.
Competition and Markets Authority guidance says significant or unexpected changes are especially unlikely to be fair in fixed and short-term contracts. As practical checks, examine any limits on the power, the stated reason, advance warning and a workable exit without a financial disadvantage. Ask a solicitor to assess the wording and its proposed use together.
Challenge the retrospective effect precisely
Prepare a comparison of the original wording, replacement wording and effect on your order. Flag attempts to add charges for work already agreed, narrow an existing remedy or alter responsibility for an earlier failure. Distinguish changes proposed for future orders from changes claimed for your current order. Request the seller’s explanation for each disputed item.
Suggested wording: “I dispute applying the replacement terms to this order. Please identify the original clause or subsequent agreement you rely on, the affected provisions and the effective date. I have not agreed to the proposed replacement wording. Please confirm how you propose to fulfil the order while this is reviewed.” If you later agree an amendment, use our written change record guide.

Escalate with records and a clear requested outcome
For consumer contracts, an unfair term is not binding on the consumer. Courts decide whether a disputed term is unfair. Explain why you challenge the change and request a specific outcome, such as performance on the original terms or withdrawal of an added charge. Avoid treating your objection alone as a decision on enforceability or an automatic refund entitlement.
Send the complaint to the contracting UK seller with the timeline and comparison attached. Request a written response and agree interim instructions for production, delivery and payments. Seek advice before withholding money, cancelling or signing replacement terms. For escalation, see goods disputes with a UK seller.
Frequently asked questions
Do updated website terms apply to my existing order?
Do not assume they do. Preserve the earlier version and ask the seller to identify the original change clause or subsequent agreement relied on, including the affected orders and effective date.
Does a variation clause let the seller change anything?
Examine its scope, triggers and notice provisions. Official guidance says significant or unexpected changes are especially unlikely to be fair in fixed and short-term consumer contracts.
What if I cannot find the original terms?
Check saved emails, attachments, downloads and purchasing records. Ask the seller for the version supplied when you ordered and evidence of when it was provided. Keep the missing version flagged as unresolved.
Can my business use consumer unfair-terms rules?
These provisions concern trader-consumer contracts. A consumer is an individual acting wholly or mainly outside their business or profession. For a business order, have the commercial agreement assessed separately.
