Should I sign a confidentiality clause for a refund?

Do not sign solely to unlock the refund. Ask for the complete agreement, clarify what payment settles, and negotiate explicit exceptions for safety reporting and confidential advice. Have a solicitor review restrictions on discussing the dispute. For factory and inspection records, contact Cambridge China Bridge.

Separate the refund from the confidentiality bargain

Ask whether the seller accepts that a refund is due or is offering payment to settle a disputed claim. Request the complete agreement and identify what you would give up in return. Ask your solicitor to assess your business's position under the purchase contract before accepting new conditions.

Check the payment deadline, return arrangements and claims covered by the settlement. Ask whether confidentiality starts before payment arrives and what happens if the seller fails to pay. Use our full and final settlement guide for the wider settlement checks.

Keep safety reporting separate from settlement

OPSS guidance says confidentiality clauses should not attempt to prevent a consumer speaking to a regulator about product safety. That guidance concerns consumer compensation settlements; have your solicitor check the wording for your business purchase. Request an express exception covering safety reports, supporting documents and cooperation with the relevant authority, without needing the seller's permission.

If your business supplies products on the UK market, official guidance summarises notification requirements where goods are unsafe or noncompliant. Ask the relevant authority which route applies to your product and destination. Keep the safety enquiry moving separately from refund negotiations.

Name the advisers and colleagues who need access

Request express permission to share the agreement and underlying evidence confidentially with your solicitor, accountant, insurer and relevant technical adviser. Include staff who need to handle the payment, affected stock or safety investigation. Specify the purpose of sharing and any confidentiality conditions placed on recipients.

Intellectual Property Office guidance warns against assuming adviser conversations are automatically confidential. Confirm arrangements with each recipient. Ask your solicitor to check whether the clause requires prior approval, makes you responsible for another person's disclosure or prevents retaining an advice file.

Check what you can say about the dispute

Ask the seller to distinguish confidential payment terms from product facts, test results and the history of the complaint. Identify restrictions covering reviews, social media, customers, other buyers and the press. Also check any promise not to criticise the seller, requirement to remove existing posts or obligation to issue an agreed statement.

For consumer recalls requiring participation, OPSS guidance says clauses should not inhibit sharing experiences or recall information where this serves the public interest. Request wording preserving necessary recall communications. For other public discussion, agree the permitted scope in writing rather than treating a safety-reporting exception as permission to publish everything.

Obtain a revised draft before deciding

Send the seller a written list of requested changes: defined confidential information, named permitted recipients, safety exceptions, duration, payment arrangements and evidence retention. Ask your solicitor to assess any refund repayment demand, compensation clause or legal-cost provision linked to an alleged breach. Request enough time for that review.

Keep the agreed draft, signed version and payment evidence together. Ask Cambridge China Bridge's staff in China to help gather factory and inspection records for your advisers. If the seller refuses workable terms, use our UK seller dispute guide to plan the next step.

Frequently asked questions

Should I sign a confidentiality clause to get a refund?

Only after checking the complete bargain. Clarify the payment, claims being settled, permitted disclosures and consequences of an alleged breach. Get advice before accepting unclear restrictions.

Can a refund confidentiality clause stop safety reporting?

OPSS says clauses should not attempt to stop consumers speaking to regulators about product safety. For a business purchase, request an explicit safety-reporting exception and have your solicitor check it.

Can I show the refund agreement to my solicitor or insurer?

Request express permission to share the agreement and evidence confidentially with named adviser categories, including your solicitor and insurer. Check recipient conditions and any prior-approval wording.

Can I still post a review after accepting a refund?

Check restrictions on reviews, criticism, existing posts and public statements before signing. Agree what you may publish. A safety-reporting exception should not be treated as permission to publish the whole dispute.
