Getting started

Can my limited company sell my sole trader stock?

Yes, provided the stock is transferred to the company and is suitable for sale. Document the handover, agree the accounting and VAT treatment with your accountant, and review labels and product responsibilities before dispatch. Cambridge China Bridge can help obtain factory documents and batch evidence.

Document what the company is taking over

The company is a separate legal entity. Treat the remaining trial stock as a documented handover rather than simply changing the seller name on your website. Prepare a dated transfer agreement naming you as the sole trader and the company, with an attached stock schedule. Record the transfer date, agreed consideration and how it will be settled.

Count the goods by model, variant and batch. Record their location and condition, separating saleable stock from samples, returns and damaged items. Have both parties acknowledge the schedule and give the warehouse matching instructions. If you also have future imports to arrange, use our EORI changeover guide for that separate process.

Agree the accounting entries before posting them

Give your accountant the supplier invoices, freight and import charges, stock count and proposed transfer agreement. Ask them to agree the transfer value, the entries in your sole trader records and the company's opening stock, and how any amount the company owes you should be recorded. Explain whether the sole trader business is stopping or continuing.

Do not assume the transfer price, accounting value and tax value are interchangeable. HMRC explains that the purchaser's tax cost on a transfer following cessation may differ from its accounts cost. Ask for the agreed treatment in writing, including any tax adjustments. Our unsold stock valuation guide covers the wider valuation question.

Resolve VAT on the handover separately

Ask your accountant whether you are transferring stock alone or an operating business, and whether the transfer qualifies as a transfer of a going concern. Where that treatment applies, the supply is outside the scope of VAT. The rules are compulsory, so do not choose the treatment merely to avoid a VAT payment.

Provide both businesses' VAT registration details and effective dates. Obtain instructions on whether to issue a VAT invoice, how to report the transfer, and what the company can recover. Separately ask how the historical import VAT was accounted for and whether any further claim is available. Our importer and import VAT guide helps frame that discussion.

Connect the transfer to the original batch evidence

Keep the original supplier invoice, customs declaration, import VAT evidence, packing list and payment records under the identity used at import. Add the transfer agreement alongside them. A new company invoice should not replace the original import trail. Give the company access to the supporting records and agree who holds the originals.

Link each transferred batch to its test reports, inspection results, approved specification, label photographs and any complaints. Record which goods have already been sold or removed from stock so they are excluded from the handover. Before dispatch, try tracing a picked item back to its factory batch and forward to the customer order.

Review labels and responsibilities before selling

Ask a product compliance adviser to identify the company's role for the actual goods and selling territory. For electrical equipment supplied in Great Britain, a distributor is someone other than the manufacturer or importer who makes the equipment available on that market. Do not decide the role solely from the customs paperwork or assume every product category uses the same rules.

Compare the goods, packaging and instructions with the supporting evidence. Ask whether business names, contact addresses, warnings or declarations need updating before company sales. Avoid covering original batch identifiers or importer details with new stickers without that review. If changing the brand, read our own-brand responsibilities guide. Agree who handles complaints, retrieves evidence and contacts affected customers.

Frequently asked questions

Can my company sell stock imported in my personal name?

Yes, provided the stock is transferred to the company and is suitable for sale. Keep the original import records and add a dated transfer agreement and batch stock schedule.

What value should I use to transfer the stock?

Ask your accountant to agree the transfer value, accounting entries and tax treatment. Provide purchase and import costs, a stock count and condition evidence; do not assume original cost settles every question.

Do I charge VAT when transferring stock to my company?

Have your accountant assess both VAT registrations and whether this is stock alone or a qualifying business transfer. Going concern rules are compulsory; obtain the invoice and reporting instructions before proceeding.

Do I need to replace the sole trader name on product labels?

Check the product rules and each business's role before relabelling. Review names, addresses and supporting documents together, and preserve batch identifiers. A change of seller alone does not settle the label question.
