Getting started

Overseas business VAT registration for UK stock

An overseas business without a UK establishment must register when it makes taxable UK sales or expects them within the next 30 days, regardless of value. The effective date can precede the first sale. Plan registration before launching direct sales from UK stock with your tax adviser. Cambridge China Bridge helps coordinate China sourcing.

Check the seller’s establishment first

HMRC defines a non-established taxable person as someone without a UK establishment. It looks at where essential management and central administration occur, or whether there is a permanent UK presence with human and technical resources to make or receive taxable supplies. A registered, serviced or virtual office alone is insufficient. Check the actual selling entity and operations; see UK establishment for overseas sellers.

Do not wait for the domestic turnover threshold

For a non-established business, the taxable-supplies registration threshold does not apply. Taxable UK sales of any value can trigger registration. The domestic £90,000 threshold discussed in importing without VAT registration is therefore not a safe waiting point for an overseas seller. Keep the decision about selling from UK stock separate from the decision about importing it.

Separate the trigger, deadline and effective date

Registration liability arises when you make taxable UK sales or expect to do so within the next 30 days. Notify HMRC within 30 days of the first taxable supply or the date that expectation arose. HMRC’s manual gives the effective date as the first supply date or the date the expectation first arose. The notification window does not postpone that effective date.

Check exceptions against the actual sales route

HMRC says registration may not be needed where all UK sales are zero-rated, where all sales are through an online marketplace to non-business customers, or where all sales are to VAT-registered businesses in Great Britain that account for VAT under the reverse charge. Do not assume a direct sale qualifies merely because the buyer has a VAT number. Have your adviser confirm the route; see VAT on overseas sellers’ marketplace stock.

Prepare the registration before launch

HMRC provides online registration for non-established businesses making taxable UK sales or expecting them within the next 30 days. Give your adviser the selling entity, stock location, customer types, sales channels and dated evidence of the launch decision. Ask them to confirm the effective date before accepting orders. Cambridge China Bridge’s staff in China can help organise factory and shipment information; use the import VAT guide for the separate import-tax question.

Frequently asked questions

Can an overseas seller wait until turnover reaches £90,000?

No. The domestic taxable-supplies threshold does not apply to a business without a UK establishment. Taxable UK sales of any value can trigger registration.

Must I register before my first UK stock sale?

Liability can arise before the sale if you expect a taxable UK supply within the next 30 days. The effective date is then when that expectation first arose.

Does a UK virtual office make my business established?

A registered, serviced or virtual office alone is insufficient. HMRC considers the actual management, administration and permanent operational presence.

Does selling only to VAT-registered buyers remove registration?

Do not assume so. HMRC’s exception concerns sales to VAT-registered businesses in Great Britain that account for VAT using the reverse charge. Ask your adviser whether it applies.
