Factory compensation only on your next order?

Treat a future-order discount as conditional compensation: you must spend again to use it. Ask for a refund, credit against an existing unpaid invoice, or replacement shipped without another purchase. Check the written conditions before agreeing, and present these as proposals rather than assumed rights. Cambridge China Bridge can help discuss these options with the factory.

Separate the complaint from the next purchase

Ask the factory to confirm which order, goods and problem its offer covers, whether it accepts your account of the problem, and the compensation amount and currency. Keep the offer alongside the specification, inspection findings, photographs and correspondence. For the wider complaint process, see goods that arrived faulty.

Assess any proposed purchase on its own merits. Would you still order these goods from this factory without the discount? If the answer is no, the offer ties recovery to a purchase you would otherwise avoid. Do not assume that requesting a refund, credit or replacement establishes an entitlement; seek advice on the actual agreement if that becomes disputed.

Find the spending hidden in the discount

Ask whether the offer is a fixed amount or a reduction calculated from the next order's value. Clarify minimum spend, eligible products, expiry, staged use and any unused balance. Request a fresh quotation showing the ordinary price and compensation separately, so a price increase cannot quietly absorb the allowance.

Compare the cash recovered with the extra deposit, remaining payment, freight, checks and stock holding the new purchase would require. Consider demand and the risk of repeated defects. A discount with no expiry still depends on buying again. Use the guide to bulk discounts and stock holding costs for the purchasing decision.

Counterpropose compensation you can use

Propose a refund with an agreed payment date, currency, recipient and allocation of transfer charges. Alternatively, propose a fixed credit against an identified existing unpaid invoice, without increasing its order value. Ask the factory to confirm the revised balance. A credit document alone does not explain how you will recover the money; see reconciling supplier credits and refunds.

For replacement goods, specify the affected items, agreed specification, inspection arrangements, dispatch date and delivery destination. Ask for shipment without a fresh purchase and agree who pays transport and related costs. Include what happens if the replacements fail the agreed checks. Choose this option only if the goods still serve a business need.

Send a concrete written counterproposal

Adapt this wording: “Thank you for the offer. We cannot commit to another purchase to recover compensation for the affected order. We propose a refund of the agreed amount by the agreed date. Alternatively, please confirm a credit against the identified unpaid invoice, or replacement goods shipped without a new order. Please confirm the amount, scope, costs and completion arrangements in writing.”

Replace the general terms with your order reference, requested amount, currency and proposed dates. Explain the evidence supporting your request and distinguish agreed facts from disputed costs. Ask whether acceptance is intended to close the whole complaint or only the specified items. If you bought through a UK sourcing seller, read full and final settlement terms.

Confirm delivery of the settlement

Record who approved the arrangement and how completion will be demonstrated: receipt of the refund, an agreed invoice balance, or accepted replacement goods. Do not mark the complaint resolved merely because a discount code or credit note has arrived. Keep any future buying decision separate until you have assessed the factory's corrective action.

If discussions stall, ask for a response from someone authorised to approve compensation and seek advice before signing disputed settlement wording. Ministry of Justice guidance for England and Wales says mediation can take place before legal action or during it. Ask an adviser whether mediation suits your particular dispute and contract.

Frequently asked questions

Should I accept a discount on my next factory order?

Consider it only if you independently want another order, trust the corrective action and can use the allowance on clear terms. Compare the benefit with the extra cash and stock exposure.

Can I ask the factory for a refund instead?

Yes, propose a refund with an amount, currency and payment date, supported by your complaint evidence. Make the request without assuming that the factory must accept it.

Is a supplier credit note the same as a refund?

For cash planning, treat them differently. A refund returns money; ask exactly which invoice a credit will reduce and what happens to any unused balance. Credit usable only on a new order still requires more purchasing.

Can I request replacements without placing another order?

Propose a separate replacement shipment. Agree the goods, specification, checks, dispatch date and costs, plus the response if checks fail. Ask for written confirmation that no new purchase is needed.
