How to clarify 'balance when ready' payment terms
Replace 'balance when ready' with a written trigger tied to the actual batch, an agreed evidence pack, a defined review period and a payment deadline after approval. Agree how missing or corrected documents affect the clock, and who can approve release. Ask Cambridge China Bridge to help define the factory evidence.

Define the event that makes the balance payable
Ask the seller what 'ready' means: production finished, inspection passed, packing completed or goods available for collection. Choose the event that suits your order and identify the batch, specification revision and acceptance criteria. Agree the wording before placing the order, with the company selling to you.
UK government guidance says sellers can set payment terms, including payment upfront. For your order, put the agreed trigger and payment deadline into the accepted purchase order or contract. Our payment methods guide covers staging payments; this guide explains how to define the release event.

Specify a complete evidence pack
Attach a checklist naming each required document, its issuer and the batch or model it must identify. Specify readable files, the submission address and the report version. Include the inspection result, packing evidence and agreed shipment documents as appropriate. Use our balance payment checklist to choose the checks.
Define what a satisfactory result means by reference to the agreed specification and inspection brief. A report saying 'passed' should identify what was checked and any unresolved exceptions. Our inspection guide explains inspection stages. Distinguish documents needed before payment from documents that can only be issued after dispatch.
Give the review clock a clear start and finish
Agree a review duration that your team can meet. Define working days, the holiday calendar, time zone and receipt cut-off. Start the agreed clock when the complete, readable pack reaches the named address. Require a receipt acknowledgement that records the submission version and the review deadline.
Name the reviewer and a substitute. Require a written approval or an itemised response against the checklist within the review period. Agree an escalation route if the reviewer misses the deadline, and state whether silence has any effect. Specify separately when payment must be initiated after approval and how transfer confirmation will be shared.
Agree what happens to incomplete submissions
Propose that a missing, unreadable or wrong-batch document does not start the review period. Agree a prompt completeness check and require the buyer to identify the missing items in writing. An invoice or a message saying 'goods ready' should not replace the evidence pack under your agreed wording.
Distinguish missing evidence from evidence showing a failed result. For corrections, agree whether the clock pauses or restarts, which files need resubmitting and whether earlier approvals remain valid. Record exceptions by batch or item. If partial release is acceptable, agree the corresponding payment and evidence separately before authorising it.

Use a clause that your team can operate
Suggested wording to complete and agree: 'The balance for [identified batch] becomes payable only after [named reviewer] gives written approval that [defined readiness event] and [acceptance criteria] are met, supported by the complete evidence pack in [schedule]. The buyer will respond within [agreed review period] from complete receipt at [submission address]. Payment will be initiated within [agreed payment period] after approval.'
Add: 'Incomplete or unreadable submissions do not start the review period. The buyer will identify deficiencies within [agreed completeness-check period]. Corrected submissions follow [agreed pause or restart procedure]. Silence does not constitute approval; overdue reviews escalate to [named contact].' Replace every bracket, obtain the seller's agreement and align the invoice wording. Treat this as proposed wording, not permission to change an existing payment obligation unilaterally.
Frequently asked questions
What does 'balance when ready' mean?
It leaves the readiness event unclear. Ask whether it means production complete, inspection passed or packed for collection, then agree the exact event and evidence in writing.
When should the payment review period start?
Propose that it starts when the complete, readable evidence pack reaches the agreed address. Define the receipt cut-off, working-day calendar and reviewer before placing the order.
Do missing documents restart the review clock?
Agree this expressly. Separate incomplete initial submissions from later corrections, and state whether corrections pause or restart the review and which earlier approvals remain valid.
Does no reply mean the balance is approved?
Agree the effect of silence. A practical approach is written approval with escalation for missed review deadlines. Put that process in the agreed terms before the payment request arrives.
