VAT on a different-value replacement
HMRC says the seller should adjust its VAT return when returned overseas-dispatched goods are replaced with goods of a different value. Compare the original sale with the agreed replacement and document the VAT difference. Ask Cambridge China Bridge to help assemble the factory and shipment records.

Identify whose VAT return needs adjusting
HMRC’s guidance addresses sellers sending goods from abroad to UK customers. It says the seller should make a VAT return adjustment when returned goods are replaced with goods of a different value. If you are the business buyer, start by asking the invoicing seller how it will document the change.
Retrieve the original order, invoice and payment record. Identify who charged VAT and whether your paperwork also shows import VAT. Use our import VAT guide to help frame the questions for your accountant.
Compare the original sale and replacement
Prepare a reconciliation showing the original selling price excluding VAT, original VAT, agreed replacement price excluding VAT and proposed replacement VAT. Record any refund or additional payment separately. Compare agreed transaction prices rather than a catalogue price or the factory’s production cost.
Ask your accountant to confirm the additional VAT for a higher-priced replacement or the reduction for a lower-priced replacement. Have them check the applicable VAT treatment of each product before calculating the difference. Ask the seller to explain whether its paperwork adjusts the existing sale or credits it and records the replacement separately, so your reconciliation does not count both.
Link the adjustment to a clear audit trail
For a credit, HMRC says to issue a credit note to the customer and keep a copy. Ask the seller for documents that clearly connect the adjustment to the original invoice and identify the returned and replacement products.
Keep a case file containing the return agreement, reason for replacement, product identifiers, return tracking, replacement dispatch evidence, agreed prices, adjustment documents and payment evidence. Add the accountant’s calculation and the VAT period used. Cross-check factory credits against the customer-facing adjustment with our supplier credit reconciliation guide.
Separate a replacement from a refund
A refund without a replacement follows HMRC’s refund guidance: adjust the VAT return for the returned goods where VAT was originally charged and has been refunded to the customer. Describe the agreed outcome clearly in the case file before asking accounts to process it.
Keep the sales VAT reconciliation alongside the replacement shipment’s valuation workings. For the customs calculation, use our customs value guide. Ask Cambridge China Bridge’s staff in China to help collect factory confirmation and dispatch records, then give the complete file to the person preparing the VAT adjustment.
Frequently asked questions
Does a different-value replacement need a VAT adjustment?
Yes.
How do I calculate VAT on a more expensive replacement?
Compare the original and agreed replacement prices excluding VAT. Ask your accountant to confirm each product’s VAT treatment and calculate the additional VAT, keeping the calculation with the adjustment documents.
What records should I keep for a cheaper replacement?
Keep the original invoice, agreed lower price, credit note, refund or offset evidence, return tracking and replacement dispatch record together. Include the VAT calculation and accounting period used.
Does the buyer or seller adjust the VAT return?
The cited overseas-returns guidance tells the seller to adjust its return. As the buyer, obtain the seller’s adjustment documents and ask your accountant how to reflect them in your own records.
